Asset management

# AIFMD II applied in April, *and most of what it asks for has to be shown on an ongoing basis.*

Two liquidity management tools per fund, detailed delegation reporting, periodic due diligence on delegates, and two full-time EU-resident people directing the business. All of it continues after the implementation project has closed.

The liquidity requirement comes with a number: every open-ended fund must select and maintain at least two tools from the harmonised list, which includes redemption gates, notice periods and swing pricing. Keeping them means being able to show they remain appropriate for the fund's strategy.

Managers must also demonstrate genuine resources at licensing, provide regular and more detailed information on delegation arrangements including sub-delegation, and run periodic due diligence on delegates. Meanwhile the sustainability disclosure regime is being rewritten around three voluntary categories at a seventy per cent threshold, with trilogues from September 2026 and realistic application in 2028 or 2029.

## **And the rules that apply to everyone**

Alongside the fund rules sits a second set that reaches every financial institution, each with its own edge for a fund manager. The AI Act has no high-risk category specific to asset management. GDPR erasure rights collide with mandatory retention periods, so the right to be forgotten is often legally unavailable and has to be explained rather than ignored. Anti-money-laundering rules bite hardest on beneficial ownership through layered structures, while DORA generally spares smaller managers from threat-led testing.

## **Where each fund rule sits in the change cycle**

The sustainability disclosure rewrite is still at scanning: proposed, in negotiation and years from applying, but it will decide which funds keep a label. Loan origination is design work for the managers who do it, and the liquidity tools are implementation against a date that has already passed. Delegation has become a question of evidence, and fund naming sits at assurance because a name has to keep qualifying after launch.

Every regulatory change moves through the same regulatory change lifecycle. No matter where each rule sits, Helia can help your teams.

### **Sustainability disclosure rewrite**

**Trilogues from Sept 2026**

**Where the sector gets stuck**

#### **The label decides the product**

Whether a fund can carry a category depends on thresholds that are still being argued over, and on data its investee companies publish. Product decisions taken now are bets on where that lands.

[**Scan**Hold the proposal in the library now, each requirement anchored to its source passage, so the team works from one copy while the thresholds are negotiated.** Regulatory Nexus **](https://acecompany.nl/helia/regulatory-nexus)

### **Loan origination**

**Applies now**

**Where the sector gets stuck**

#### **Policies that did not exist**

Managers who originated loans without a formal framework now need one, with retention and diversification built in and conflicts addressed, and the structure of existing funds may not survive the test.

[**Design**Assess the existing policy set against the requirements, so the new framework is built on what is genuinely missing.** Impact Assessment **](https://acecompany.nl/helia/impact-assessment)

### **Liquidity management tools**

**In force since April 2026**

**Where the sector gets stuck**

#### **Keeping the tools appropriate**

Choosing the tools was a one-off decision. Showing they remain appropriate for the strategy, and that the calibration behind them is current, is an ongoing obligation.

[**Implement**Compare the liquidity policies across funds and against the requirements, so divergence between products in the same range is visible before a regulator finds it.** Impact Assessment **](https://acecompany.nl/helia/impact-assessment)

### **Delegation and substance**

**Reporting expanded**

**Where the sector gets stuck**

#### **Showing what you actually control**

Delegation was a structuring decision. It is now a reporting obligation with evidence attached, and the due diligence has to be periodic and documented rather than done once at appointment.

[**Evidence**Check the delegation policy and the due diligence procedures beneath it against the requirements, with a drafted fix for each gap.** Impact Assessment **](https://acecompany.nl/helia/impact-assessment)

### **Fund naming**

**Guidelines in force**

**Where the sector gets stuck**

#### **Names that keep qualifying**

A name that qualified at launch has to keep qualifying as the portfolio moves. The check is continuous, and the consequence of failing it is a rename in front of investors.

[**Assure**Trace each requirement to the control meant to satisfy it and surface the ones with nothing behind them, with the reasoning for each verdict on record.** Risk & Control **](https://acecompany.nl/helia/risk-control)

## **Helia does the heavy lifting. You stay fully in control.**

Helia reads regulatory text and pulls out what is actually being asked for. It takes the documents you already have, whether policies or procedures, and assesses them against those requirements. It maps your controls to the requirements they are meant to satisfy and shows where nothing covers them. And it keeps the trail intact, so any conclusion can be followed back to the wording it came from.

We built Helia for the stretch between reading a regulation and reporting on it, because that is where most of the effort in a regulatory change goes.

The judgement calls stay with you. Our senior practitioners, who have run this inside regulated institutions, take the first assessments with your team, so you see how conclusions are reached and hold the method afterwards.

## **Already live, and providing value today**

RegAI Helia is already live in a number of large European financial institutions. From massive acceleration in interpreting regulatory requirements, through complex impact assessments run against your own internal artefacts, to speeding up the creation of regulatory data requirements, the Helia workbench provides value modularly, and it does so today.

Where the gain sits for you depends on what you already have, so the first conversation is about your current set-up.

## Wherever you are in the cycle, *we can help*

Preparing for changes that are coming, accelerating work already under way, or checking after the fact.
